Trading Terms

Effective Date: 19th June 2025

These Trading Terms (“Terms”) are intended to govern the provision of services by Marketing Geeks Ltd (“we”, “our”, “us”) to any individual or business (“you”, “your”, “client”) who purchases services either through https://marketinggeeks.co.uk/ or via direct engagement.

By commissioning work or engaging with the services offered, acceptance of these Terms is thereby confirmed.

1. Services Offered

A range of digital marketing services is offered, including but not limited to the following:

• Search Engine Optimisation (SEO)

• Pay-Per-Click (PPC) Advertising

• Social Media Marketing

• Web Design and Development

• Content Creation and Copywriting

• Branding and Creative Services

It should be noted that specific deliverables will be outlined in a proposal, statement of work (SOW), or agreement, which will be provided to you accordingly.

2. Quotes and Pricing

All prices quoted are valid for a period of 30 days unless otherwise specified. Additionally, prices quoted are exclusive of VAT, except where it is clearly stated.

Furthermore, pricing adjustments may be applied if the scope changes or if additional requirements are introduced.

3. Payment Terms

A deposit of 50% may be required before any project work is commenced.

Full payment is expected within 14 days of the invoice date unless an alternative arrangement has been agreed upon in writing.

In the event that payments are delayed, a charge of 5% above the Bank of England base rate per month may be applied.

Moreover, services may be paused or withheld if invoices remain unpaid beyond the due date.

4. Project Timelines

Estimated timelines for deliverables will be provided. However, it should be understood that these timelines may be impacted by:

• Delays caused by the client in approvals or feedback

• Changes in project scope

• Technical issues beyond the control of Marketing Geeks Ltd

It is expressly stated that liability will not be accepted for delays caused by third-party providers or inaction on the client side.

5. Client Responsibilities

Clients are expected to:

• Provide timely access to necessary materials, logins, and feedback

• Respond to communications within a reasonable timeframe

• Review and approve work promptly

Failure to comply with these responsibilities may result in project delays or additional fees being incurred.

6. Revisions and Amendments

Unless otherwise stated within the agreement:

• Two rounds of revisions will be included in projects.

• Additional revisions may incur charges at the standard hourly rate.

• Major changes to scope will require a new estimate or agreement to be prepared.

7. Intellectual Property

Ownership of final deliverables will be transferred upon receipt of full payment.

Furthermore, the right to showcase completed work in the Marketing Geeks portfolio is reserved unless otherwise agreed.

Please note that pre-existing assets or stock content used within deliverables may be subject to third-party licensing terms.

8. Cancellations and Termination

A project may be cancelled at any time by providing written notice.

Work completed up to the point of cancellation will be billed accordingly.

Additionally, the right to terminate an agreement due to breach of terms or non-payment is reserved.

9. Limitation of Liability

To the fullest extent permitted by law, no liability shall be accepted for:

• Any indirect or consequential losses

• Loss of revenue, data, or profits

• Delays caused by third parties or force majeure events

It is expressly stated that total liability under these Terms shall not exceed the amount paid by you for the relevant services.

10. Confidentiality

Confidentiality of all information shared during the course of a project shall be maintained by both parties unless:

• Disclosure is required by law

• Information is publicly known

• Written permission is granted

11. Governing Law

These Terms shall be governed by and construed in accordance with the laws of England and Wales. Accordingly, any disputes arising under these Terms will be subject to the exclusive jurisdiction of the courts of England.
